End-User License Agreement (EULA) of WizTree

This End-User License Agreement (“EULA”) serves as a legal agreement between you and Antibody Software Limited.

By acquiring and utilizing our WizTree software (“Software”), whether directly from Antibody Software Limited or through an authorized reseller or distributor, you are bound by the terms outlined in this EULA agreement. It governs the use of the WizTree software and includes provisions regarding warranties and liability disclaimers.

Ensure you carefully review this EULA agreement before proceeding with the installation process and using the WizTree software. By clicking “accept” or installing and/or using the software, you indicate your acceptance of the terms outlined in this agreement. If you are entering into this EULA agreement on behalf of a company or other legal entity, you affirm that you have the authority to bind such entity and its affiliates to these terms and conditions. Failure to agree to these terms or lack of authority to do so prohibits you from installing or using the Software.

This EULA agreement pertains solely to the Software provided by Antibody Software Limited, regardless of any references to other software herein. The terms also extend to any updates, supplements, Internet-based services, and support services for the Software, unless accompanied by separate terms upon delivery. If additional terms accompany such items, they take precedence.

License Grant

Under the terms of this EULA agreement, WizTree is made available for free for personal use only. Users utilizing WizTree for personal purposes are encouraged to support further development by purchasing a “supporter code.”

Commercial use of WizTree requires the purchase of a supporter code for each business site (physical location). The license type required is determined by the number of staff members at the site. An “Enterprise License” is necessary for sites with over 100 staff members, while a “Multi Site Enterprise License” permits unlimited use across multiple business locations.

Software developers intending to include WizTree with their applications must obtain a “WizTree Distribution License subscription.”

Antibody Software Limited grants you a personal, non-transferable, non-exclusive license to use the WizTree software on your devices, subject to the terms of this EULA agreement. You may install WizTree on devices under your control, such as PCs, laptops, or tablets, ensuring they meet the minimum software requirements.

If your staff provide technical support to clients outside your business, they may install the unregistered version of WizTree on client devices, provided you have purchased a suitable supporter code license for their site. However, they are prohibited from registering WizTree on client devices using the business supporter code. For technical staff with physical access to client devices, it is recommended to use a registered portable version of WizTree on a portable storage device to avoid installing it on each client device.

You are not permitted to

Editing, altering, modifying, adapting, translating, or otherwise changing the Software, or allowing it to be combined with or incorporated into any other software, or attempting to decompile, disassemble, or reverse engineer the Software.
Reproducing, copying, distributing, reselling, or using the Software for any commercial purpose.
Allowing any third party to use the Software on behalf of or for the benefit of any third party.
Using the Software in any manner that violates applicable local, national, or international laws.
Using the Software for any purpose that is considered a breach of this EULA agreement by Antibody Software Limited.

Intellectual Property and Ownership

Antibody Software Limited maintains ownership of the original Software as downloaded by you, as well as any subsequent downloads. This includes all intellectual property rights associated with the Software, including any modifications made to it. Antibody Software Limited reserves the right to grant licenses for the use of the Software to third parties.

Termination

This EULA agreement becomes effective on the date of your initial use of the Software and remains in effect until terminated. You have the right to terminate it at any time by providing written notice to Antibody Software Limited. The agreement will also terminate immediately if you fail to comply with any of its terms. Upon termination, all licenses granted under this EULA agreement will cease, and you must discontinue all access and use of the Software. Provisions that, by their nature, are intended to survive termination will continue to be binding.

Governing Law

This EULA agreement, including any disputes arising from or related to it, will be governed by and interpreted in accordance with the laws of New Zealand.

Limitation of Liability

THIS SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH THE LICENSEE. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU ASSUME THE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. IF ANY ALGORITHM IS PATENTED IN YOUR COUNTRY, YOU SHOULD ACQUIRE A LICENSE BEFORE USING THIS SOFTWARE.

IN NO EVENT WILL THE AUTHOR OR ANY OTHER PARTY WHO MAY HAVE DISTRIBUTED THE SOFTWARE AS PERMITTED ABOVE, BE LIABLE TO YOU FOR DAMAGES, INCLUDING ANY GENERAL, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE (INCLUDING BUT NOT LIMITED TO LOSS OF DATA OR DATA BEING RENDERED INACCURATE OR LOSSES SUSTAINED BY YOU OR THIRD PARTIES OR A FAILURE OF THE SOFTWARE TO OPERATE WITH ANY OTHER PROGRAMS), EVEN IF SUCH HOLDER OR OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
